What is BOI?

Who Has to File BOI?

Who Does NOT Have to File BOI?

The following entities are exempt from filing BOI:

  • Nonprofits that qualify as 501(c) tax-exempt under the Internal Revenue Code (e.g., public charities, private foundations)

  • Sole Proprietors operating without a formal business entity

  • Publicly traded companies already subject to SEC requirements

  • Large Operating Companies with 20+ full-time employees, over $5 million in revenue, and a U.S. office

  • Financial Institutions (e.g., banks, credit unions)

  • Governmental authorities and agencies

Beneficial Ownership Information (BOI) Reporting Deadlines:

  • Businesses formed before January 1, 2024: File initial BOI reports by January 1, 2025.

  • Businesses formed between January 1, 2024, and December 31, 2024: File initial BOI reports within 90 days of receiving notice of creation or registration.

  • Businesses formed on or after January 1, 2025: File initial BOI reports within 30 days of receiving notice of creation or registration.

  1. Book Your Appointment & Make Payment:

  2. Receive Zoom Link & Portal Access:
    After payment, you’ll receive a confirmation email with your Zoom link for the session and will be redirected to the MyPortal Login page.

  3. Portal Login for Existing Clients:
    If you are an existing client with a portal account, log in and send us a chat message stating that you have completed your payment for the BOI service.

  4. Portal Setup for New Clients:
    If you’re a new client, create your account on the portal. During setup, you’ll see an option to select the service you need—choose BOI Services. This will give you access to chat messaging and the necessary organizer forms.

  5. Complete the Organizer Form & Documentation:
    Once in the portal, you will find a chat messaging area and an organizer (application form) that needs to be completed. The organizer is essential as it allows us to collect required documentation for your BOI filing.
    Important: Complete your organizer and submit all documentation well before your scheduled date to ensure a smooth filing process.

  6. Attend Your Scheduled Session:
    Join the session via your Zoom link at the scheduled time. We will review and complete your BOI filing together, ensuring all required information is accurate and compliant.

Note: Partnerships and other multi-owner entities should ensure that each beneficial owner has a valid driver’s license uploaded to the portal as part of the documentation requirements.
